By accepting these Terms and Conditions License Agreement (these “Terms and Conditions”) in
your purchase or licensed use of any video or audio content on www.sagecrew.co site (the 
“Digital Products”), which site is owned by SageCrew, Inc., a Delaware corporation (referred in
these Terms and Conditions as “SageCrew” or “us”), you agree to the terms in these Terms and
Conditions and the Terms of Use Agreement of the site at www.sagecrew.co. You agree that you
are at least 18 years of age, and your purchase and use of the Digital Products is permitted in the
jurisdiction where you are located.

 

1. License. The SageCrew hereby grants you a limited, non-exclusive, non-transferable license

to use the Digital Products in compliance with all applicable laws for the following purposes:

(i) Personal Use. You may use the Digital Products for personal purposes, such as private
enjoyment or in a group setting.
(ii) Commercial Use. You may use the Digital Products in a commercial setting, such as
playing in a personal service office or similar business environment for customers'
enjoyment.

2. Restrictions. You agree to the following restrictions on your use of the Digital Products:
 

(i) No Modification, Access. You may not remix, adapt, modify, or alter the Digital
Products in any way. You may not reverse engineer the Digital Products or provide any
access to the raw data of the Digital Products.
(ii) No Redistribution. You may not share, distribute, resell, sublicense, or otherwise
transfer the Digital Products to any third party in any format or medium unless permitted
in writing by SageCrew.
(iii) No Internet Sales or Other Media. You may not (a) upload to or sell the Digital
Products on any online platform, website, or marketplace, nor (b) use Digital Products in
any print or other physical media.
(iv) Prohibited Uses. The Digital Products may not be used in any manner that violates
applicable laws or regulations or in contexts that are offensive, defamatory, or harmful.
 

3. Ownership and Intellectual Property. SageCrew and its licensors (as applicable) retain all
rights, title, and interest in and to all copyrights, trademarks, trade secrets, and other property
rights in the Digital Product(s) not otherwise provided in these Terms and Conditions. These
Terms and Conditions do not transfer any ownership rights to you in the Digital Products.
 

4. Term and Termination. This license is effective upon your acceptance of these Terms and
Conditions and remains in effect unless terminated. SageCrew reserves the right to terminate this
license if you breach or violate any of the terms outlined in these Terms and Conditions. Upon
termination, you must delete all copies of the Digital Products in your possession.

5. Disclaimer of Warranties. The Digital Products are provided “as is” without warranties of
any kind, whether express or implied, including but not limited to warranties of merchantability
or fitness for a particular purpose. Your purchase and license to use of the Digital Products are at
your own risk and responsibility. There is no guarantee any particular outcome. We are not
liable for any damages arising from the use or inability to use the Digital Products.

6. Governing Law. These Terms and Conditions are to be governed by and construed in
accordance with the laws of the State of Delaware without regard to its conflict of laws
principles.

7. Entire Agreement. These Terms and Conditions and the Terms of Use Agreement of
www.sagecrew.co constitute the entire agreement between SageCrew and you regarding the use
of the Digital Products and www.sagecrew.co and supersede any prior agreements or
understandings, whether written or oral.
